Contest Terms.

Please read these Terms and Conditions ("Terms", "Terms of Use", “Additional Terms”, “Contest Terms”, “Invited Submission Terms”) carefully before taking part in the Contest operated by Brave New Tales ("us", "we", or "our").

Your eligibility in the Contest (“Drawing Contest”, “Art Contest”, “Writing Contest”) is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all participants ("Participant", “you”, “your”) who take part in the Contest.

By taking part in the Contest you agree to be bound by these Terms. If you disagree with any part of the terms then you may not take part in the Contest.

1. Unsolicited Submissions, Messages, and Emails

Brave New Tales does not accept or consider unsolicited submissions of any kind (e.g. scripts, treatments, concepts, designs, or any other materials) in any format, by any means of transmission (including DMs and email). Any such submissions are deleted or discarded without being reviewed. Therefore, please do not send any unsolicited submissions to any member of Brave New Tales.

2. Invited Submissions

From time to time, for example, in Drawing Contests or Writing Contests, areas on this Site and our official social media channels may expressly request submissions of concepts, designs, stories, or other potential materials from you ("Invited Submissions").

Where this is the case, please carefully read any specific rules or other terms and conditions governing those submissions ("Additional Terms"), as they will affect your legal rights. If no Additional Terms govern those submissions, then these Contest Terms and our Terms of Service will apply in full to any Invited Submissions you make. Do NOT send in original art. Only submit digital copies (soft copies) of your art via the specified medium of exchange (for example sharing it on social media, or via email if requested). Please DO NOT send your submission(s) via floppy or compact disc, USB flash drive or any other data storage device. Please DO NOT send a self-addressed stamped envelope.

In exchange for Brave New Tales’ review of your artwork, sketches, costumes, characters or other designs, ideas or concepts, you acknowledge and agree as follows: Brave New Tales, its agents, artists, writers, representatives or licensees may now have similar artwork, sketches, costumes, characters or other designs, ideas or concepts in development and/or may independently develop and use similar artwork, sketches, costumes, characters or other designs, ideas or concepts. Any similarity between any materials that you show to Brave New Tales and/or any materials already in development or independently developed hereafter by Brave New Tales or any of its agents, artists, writers, representatives or licensees shall be coincidental. You shall have no rights whatsoever in or to, nor shall you make any claim against Brave New Tales in connection with, any artwork, sketches, costumes, characters or other designs, ideas or concepts already in development, or that may hereafter be independently developed by Brave New Tales, its agents, artists, writers, representatives or licensees, notwithstanding any similarity to any materials that you have shown to Brave New Tales.

Eligibility

This Contest is open to artists of all levels, and open to individuals of all ages, unless restricted by local laws. Employees or contractors of Brave New Tales are not eligible to participate. AI-generated art is not permitted.

Submission Deadline (Extended): 22nd April 2024, 6PM (CET)

Participants must post their finished art before the deadline on X and:

  • Tag @SuperNeoSamurai

  • Add the hashtag #DrawTheFutureSNS on their post

or post it on our Contest page on Raid.xyz

Participants are allowed to submit multiple entries (e.g. multiple traits).

Submission Guidelines

All artwork must be the original work of the Participant and must not infringe upon the rights of any third parties. It must be submitted within the requirements and deadline as defined in the public Contest announcement and these Terms.

Judging and Selection of Winners

Entries will be judged based on creativity, originality, quality, adherence to the theme, and “collection fit”, at the sole discretion of Brave New Tales and its assigned judges.

The judging panel will consist of members and contractors of Brave New Tales with expertise in fields relevant to the Contest (e.g. art, storytelling, design) at the sole discretion of Brave New Tales. Decisions of the judges are final and binding.

Winner Notification

Winners will be notified via @tags in the official Contest winners announcement on X within 69 business days after the Contest ends.

If a winner cannot be contacted or does not claim the prize within 10 business days after they've been notified, the Prize may be forfeited.

Prizes

First, second, and third place winners of the Contest, as well as Honorable Mentions are entitled for a one-time compensation as defined in the public Contest announcement and these Terms. All prizes shall be awarded to Participants at the discretion of Brave New Tales.

Assignment of Rights

Each Contest winner, as well as Honorable Mentions have the opportunity for their trait to become part of the Super Neo Samurai NFT collection. Participation herein is entirely voluntary and is not an obligation.

For your trait to become part of the collection, an IP Assignment Agreement has to be digitally signed by both the Participant and Brave New Tales.

The Prize thereby acts as a one-off fee for the assignment of rights, and no further compensation, royalties, or residuals apply.

Intellectual Property Rights

For your creative work (e.g. trait) to be included in the Super Neo Samurai NFT collection, the following is required and cannot be skipped:

  • The winning Participant shall sign the IP Assignment Agreement to grant the intellectual property rights of the submitted artwork to Brave New Tales. This for Brave New Tales to be able to

    • (i) adapt your work to match the overall style of the NFT collection,

    • (ii) include your work into the Project and NFT collection,

    • (iii) extend the submitted artwork’s personal and commercial usage rights to the community of NFT holders via the respective NFT License Agreement.

  • The Participant thereby grants Brave New Tales the exclusive, royalty-free, perpetual right to use, reproduce, modify, display, distribute, license, sublicense, and create derivative works of the submitted artwork, in whole or in part, in any media now existing or subsequently developed, for any Brave New Tales purpose, including, but not limited to, advertising and promotional purposes.

  • The winning Participant acknowledges that he will not retain any rights to the submitted winning artwork once such rights are granted to Brave New Tales, and he will not receive any further form of compensation beyond any prizes awarded as part of the Contest.

Use of Artwork

Brave New Tales intends to use the submitted artworks as part of the Project at its sole discretion, including but not limited to the inclusion in the NFT License Agreement of the Project, granting personal and commercial rights to the community of NFT holders. By signing the IP Assignment Agreement, the Participant consents to such use.

Shared IP and NFT License Agreement

By signing the IP Assignment Agreement and incorporating your work (e.g. trait) into the Project and NFT collection, you agree to make available your submitted work as defined in these Terms and the respective NFT License Agreement of the Project.

By signing the IP Assignment Agreement, the Participant agrees for his work to be adapted by an artist in discretion of Brave New Tales to match the style of the Project also in discretion of Brave New Tales.

In the event that the Participant's submission and/or the artist’s adaption thereof in discretion of Brave New Tales is unsuitable for approval, Brave New Tales is entitled to terminate the Agreement with immediate effect. This without any right or entitlement for your work to be incorporated into the Project or collection. In case of Brave New Tales’ disapproval, the Participant's submission shall not be included in the Project and the Participant retains all rights to it as long as it does not infringe upon the rights of others, Brave New Tales, its affiliates or its respective owners.

Disqualification

Brave New Tales reserves the right to disqualify a Participant it suspects or finds (i) to have tampered with the entry process or the operation of the Contest, (ii) to be acting in collusion with other Participants aimed at manipulating or disrupting the Contest, (iii) to be acting in violation of these Terms, (iv) or in breach of any other applicable terms and conditions of Brave New Tales, its subsidiaries, (v) to have provided inaccurate information, (vi) to plan or commit fraud, or (vii) to compromise the integrity of the Contest, Project, Collection, Company, or Community of holders.

Disqualified Participants will not be entitled to become a Winner or be awarded any Prize under this Contest.

Indemnification

The Participant agrees to indemnify, defend, and hold harmless Brave New Tales and its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that may arise as a result of or in connection with any breach of representation or warranty made by the Participant herein, or in connection with the Participant’s submission infringing upon the intellectual property rights, copyright, or trademark of any third parties. This indemnification obligation will survive the termination or expiration of the Contest and/or the Participant’s participation therein.

Liability

Brave New Tales is not responsible for any claims or actions that may arise from the use of the submitted artwork as permitted under these Terms. The Participant represents and warrants to Brave New Tales that the submitted artwork is unique and an original work only created by the Participant and has not been previously created or even published to any third party. According to that, the Participant agrees that they shall hold Brave New Tales harmless for any claim or liability caused by the use of the submitted artwork in full or in part by itself or third parties because such use infringes the rights of any other person or entity.

Governing Law

These Terms are governed by the laws of Austria, and any disputes will be resolved in the courts of that jurisdiction, primarily via arbitration by the VIAC in Vienna, Austria, unless both parties agree on a different place.

Participant Acknowledgment

By submitting their artwork, the Participant acknowledges that they have read and agreed to these Terms.

3. Ownership

Nothing contained in this Agreement shall be construed as conferring any license or right, by implication, estoppel or otherwise without the written permission of Brave New Tales. You acknowledge that all rights, ownership, intellectual property and title in and to the Services and Products, including without limitation any titles, trademarks, trade names, service marks, moral rights, themes, objects, catch phrases, concepts, artwork, documents, screenplays, animations, sounds, music, videos, images, text, audio-visual effects, materials (digital and physical) or methods of operation and any documentation related to any of the aforementioned items (collectively, “Materials”) are owned and controlled by Brave New Tales or its respective owners. You may not use, copy, reproduce, create derivative works from, perform, publicly display, adapt, upload, modify, edit, publish, post, transmit, participate in the transfer or sale, license, distribute or exploit, in any way whatsoever, the Materials contained in the Services and Products without the express written permission of Brave New Tales or its respective owners. Any modification of the Materials or any portion thereof, or unauthorized use of the Materials for any other purpose, constitutes an infringement of Brave New Tales', or its respective owners’, copyrights and other proprietary rights and, for clarity, nevertheless are created for Brave New Tales or its respective owners’ sole and exclusive benefit, and are owned and controlled by Brave New Tales or its respective owners. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to any Brave New Tales website so long as the link does not portray Brave New Tales or its products or services or respective owners in a false, misleading, derogatory, or otherwise offensive manner. You may not use any Brave New Tales logo, Project logo, or other proprietary graphic or trademark as part of the link without express written permission.

You are however allowed to share parts of this website or its content in the case of brief quotations embodied in critical reviews, on social media platforms and personal blogs for the purpose of word-of-mouth advertising/buzz marketing and certain other noncommercial uses permitted by copyright law.

4. Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Brave New Tales. Brave New Tales has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. You further acknowledge and agree that Brave New Tales shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

5. Termination

Brave New Tales reserves the right to suspend, cancel, or postpone the Contest if it cannot be executed as planned for any reason. You do not have any legal claim against Brave New Tales arising out of or in connection with the Contest or its cancellation.

To the extent permitted by law, in no event shall Brave New Tales be liable for any direct or indirect loss arising out of or in connection with the Contest.

6. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

By continuing to take part in the Contest after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop taking part in the Contest.
